Terms of Use & License Agreement

These Terms of Use ("Terms") are a legal agreement between you and Zimmerman Legacy Holdings, LLC ("tideline," "we," "us," or "our") governing your use of the tideline iOS app and related services (the "App"). By downloading or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. License

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App on Apple-branded devices that you own or control, in accordance with the Usage Rules in the Apple Media Services Terms and Conditions and these Terms. This is a license, not a sale; we and our licensors retain all rights not expressly granted.

2. Apple standard EULA

Unless a custom end-user license agreement is presented to you, your use of the App is also governed by Apple's standard Licensed Application End User License Agreement (EULA). Where these Terms and the Apple standard EULA conflict, the Apple standard EULA governs with respect to the App's use on Apple devices.

3. Your content and connectors

You are responsible for the content you capture, import, or connect to the App, and for having the rights to do so. Connectors are read-only and connected only at your direction. As described in our Privacy Policy, your content is processed on your device and is never stored on our servers; it lives on your device and syncs through your own iCloud.

4. Acceptable use

You agree not to: (a) use the App to violate any law or the terms of any connected service; (b) reverse engineer, decompile, or attempt to extract source code except as permitted by law; (c) interfere with or disrupt the App or its providers' services; or (d) use the App to infringe others' rights.

5. Subscriptions and pricing

tideline offers optional paid access through auto-renewing subscriptions and a one-time lifetime purchase, sold as in-app purchases through Apple. Current options:

Prices are shown in your local currency and may vary by region and over time; the exact price, term, and renewal details are always presented to you in the App before you confirm a purchase.

Auto-renewing subscription terms

• Payment is charged to your Apple Account at confirmation of purchase.
• Automatic renewal: the subscription automatically renews for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period.
• Renewal charge: your Apple Account is charged for renewal within 24 hours prior to the end of the current period.
• Manage or cancel: you can manage and cancel your subscription in the App Store: open Settings > your name > Subscriptions on your device. Deleting the App does not cancel a subscription.
• Free trials or intro offers (if any): any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.
• Lifetime purchase is a one-time payment that unlocks paid features and does not auto-renew.

Purchases and subscriptions are processed by Apple and are subject to the Apple Media Services Terms and Conditions. We use RevenueCat to determine your entitlement status; we do not receive your payment card details. Refunds are handled by Apple in accordance with its policies; request a refund via reportaproblem.apple.com.

6. Third-party services

The App interoperates with third-party services (including Apple/iCloud, Slack, recorders, and, in the future, Google/Gmail). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and do not endorse them. tideline is not affiliated with, sponsored by, or endorsed by Apple, Slack, or Google.

7. Disclaimers

The App is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. AI-generated summaries and extractions may contain errors; you are responsible for verifying anything you rely on. We do not warrant that the App will be uninterrupted, secure, or error-free.

8. Limitation of liability

To the maximum extent permitted by law, Zimmerman Legacy Holdings, LLC and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or related to your use of the App. Our total liability for any claim will not exceed the greater of the amount you paid for the App in the 12 months before the claim or USD $50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Termination

These Terms apply until terminated. You may stop using the App at any time and delete it. We may suspend or terminate your license if you breach these Terms. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and governing law) will survive termination.

10. Changes

We may update these Terms from time to time. Material changes will be reflected by updating the effective date above and, where appropriate, by additional notice. Your continued use of the App after changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules, except where mandatory consumer-protection law provides otherwise. Nothing in these Terms limits Apple's rights or obligations as a third-party beneficiary under Section 12.

12. Apple as third-party beneficiary

You acknowledge that these Terms are between you and Zimmerman Legacy Holdings, LLC only, not with Apple, and that Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
